  1. APDA Membership Agreement and Application

  3. 1. Purpose of the Association
  4.    The purpose of the Apple Programmer's and Developer's Association
  5.    ("the association") is to promote the development of products that
  6.    are compatible with Apple computers.  Apple has authorized the
  7.    distribution through the association of several technical documents
  8.    and Apple software products (such as tools, utilities, and languages)
  9.    that will be useful to developers of Apple-compatible products.  These
  10.    products are not available through Apple dealers.  In addition, the
  11.    association distributes Apple-compatible software products and solutions
  12.    from third-party vendors.  Thus, the association provides a one-stop
  13.    service for programmers and developers working with Apple hardware.

  15. 2. Benefits of Membership
  16.    Membership in the association gives members the right to acquire
  17.    Apple-compatible products and information services through the
  18.    association.  In addition, members will receive a quarterly
  19.    newsletter containing notices of the availability of new products,
  20.    detailed product descriptions, and a price list.

  22.                             AGREEMENT

  24. By signing the Apple Programmer's and Developer's Association
  25. application, the applicant hereby applies for membership in the
  26. association and, if accepted by the association as a member, agrees
  27. to the following terms of membership:

  29. 1. Membership Fee
  30.    Upon paying a yearly membership fee of $20 (in the U.S.; $25 in Canada
  31.    or Mexico, $35 in other countries), applicant will have the
  32.    right for one year to acquire products and other services from
  33.    the association at regularly published prices (less any applicable
  34.    discounts), and to receive the quarterly newsletter.

  36. 2. Terms and Conditions for Apple Computer Products
  37.    a. Software products will be subject to a license agreement. Applicant
  38.       acknowledges and agrees that all Apple Computer software  products
  39.       available through the association will be licensed NOT SOLD to the
  40.       applicant, and that those software products  will be  shipped to the
  41.       applicant with a license agreement attached to the product.  Applicant
  42.       may obtain copies of the  license agreement in advance from the
  43.       association, if desired. Applicant agrees that by using the product,
  44.       applicant will  be bound by the terms of the license.  If applicant
  45.       does not agree  to the license terms, applicant may return the
  46.       unopened product  to the association within three days of receipt,
  47.       and receive a full refund.

  49.    b. Applicant's acknowledgment of the nature of the products distributed
  50.       by the association.  Applicant represents to the association that
  51.       applicant is a software or hardware developer, and has substantial
  52.       experience in computer programming and in using programmers' tools
  53.       and utilities in the development of software. Applicant understands
  54.       and acknowledges that the products distributed through the association
  55.       are of a highly technical nature, and that neither the association,
  56.       nor Apple Computer, Inc., nor authorized Apple dealers will offer the
  57.       applicant technical support in the use of such products.
  58.       Applicant further acknowledges and understands that many of the
  59.       products may contain errors, and that the documentation for the
  60.       products may be nonexistent, incomplete (working documents only),
  61.       or inaccurate.

  63.       Applicant understands that most or all of these products will be
  64.       licensed or sold without warranty of any kind whatsoever, and that,
  65.       pursuant to the license agreements under which the products are
  66.       licensed, neither the association nor Apple Computer, Inc. will
  67.       be responsible for any lost profits, lost data, or any other kind
  68.       of direct or indirect damage that may result from the use of the
  69.       products.

  71.    c. No right to distribute.
  72.       Applicant acknowledges that under the license agreements,
  73.       applicant will have no right to further distribute products
  74.       produced by Apple Computer, Inc. and acquired through the
  75.       association. Licenses for further distribution may be obtained
  76.       from the Apple Computer Licensing Department, Mail Stop 28-B,
  77.       20525 Mariani Avenue, Cupertino, California  95014.

  79. 3. Policies and Conditions for Third-Party Products
  80.    Software and other products from third-party producers range from
  81.    full commercial versions to preliminary releases.  License agreements,
  82.    warranties, commercial distribution policies, and other conditions vary.
